Terms of Use

These Terms Of Use govern your access to and use of the Mercury website, applications, and restaurant management software services.

Effective Date: March 2026

By creating an account, accessing, or using the platform, you agree to comply with and be legally bound by these Terms. These conditions apply to all users operating within Nigeria and worldwide. If you do not agree with any part of these Terms, you should discontinue use of Mercury services.

Definitions

Mercury: Refers to the Mercury brand, website, and the entity that owns, operates, and provides the restaurant management software and related digital services available through mymercuryapp.com.
Platform: Means the Mercury software environment, including web applications, mobile interfaces, dashboards, tools, and system features used to manage restaurant operations and business activities.
User / Customer: Any individual, restaurant owner, business representative, employee, or authorized personnel who registers for, accesses, or uses the Mercury platform or services.
Account: A registered profile created by a User that enables secure access to Mercury services using login credentials and associated business information.
Content/Data: All information uploaded, entered, generated, or processed within Mercury, including operational records, transactions, reports, and restaurant business data.
Services: The software features, functionalities, support, updates, integrations, and tools provided by Mercury to facilitate restaurant management and operational efficiency.

Eligibility & Account Registration

To use Mercury, you must provide accurate and complete registration information and have the legal authority to operate or represent a business. Users must be of legal age within their jurisdiction and responsible for maintaining the confidentiality of their account credentials.

Businesses are accountable for all activities performed by authorized staff under their accounts. You agree not to impersonate another entity, submit false information, or create accounts for unlawful purposes. Mercury reserves the right to suspend or terminate accounts that violate these requirements or compromise platform security.

Acceptable Use Policy

Users agree to use Mercury only for lawful business purposes and in a manner that does not harm the platform or other users. You must not attempt unauthorized access to Mercury systems, interfere with platform performance, reverse engineer or copy any part of the software, or introduce malware, harmful code, or security threats.

The platform may not be used to conduct illegal transactions, fraudulent restaurant activities, or actions that violate applicable local or international laws. Users are also prohibited from reselling, sublicensing, or exploiting Mercury services without written authorization. Mercury reserves the right to investigate violations and suspend or terminate accounts engaged in prohibited or abusive activities.

User Responsibilities

Users are responsible for maintaining accurate business and operational information within Mercury and for safeguarding account login credentials at all times. You agree to manage staff access appropriately and ensure that authorized users comply with these Terms. Users must operate their restaurant or business activities in accordance with applicable laws, regulations, and tax obligations within their jurisdiction.

Mercury functions solely as a software tool, and users remain fully responsible for business decisions, financial records, and compliance outcomes derived from the platform usage. Any misuse, negligence, or unauthorized activity occurring under your account remains the responsibility of the account owner or registered business entity.

Subscription Plans, Fees & Payments

Mercury may offer paid subscription plans, with features, pricing, and billing terms clearly presented on the website or within the platform. By subscribing to a paid plan, you agree to pay all applicable fees according to the selected billing cycle. Payments are processed through approved third-party payment providers, and users are responsible for maintaining valid payment information.

Mercury reserves the right to update pricing or introduce new fees with reasonable conditions prior notice. Failure to complete required payments may result in restricted access, suspension, or termination of services. Applicable taxes, duties, or regulatory charges may be applied based on your jurisdiction, including Nigeria or other countries where the platform is used. All fees paid are non-refundable except where required by applicable law.

Data Ownership & Privacy

Users retain full ownership of all business information, operational records, and content entered or generated within the Mercury platform. By using the services, you grant Mercury permission to process, store, and use such data solely for the purpose of delivering platform functionality, support, security, and service improvements. Mercury handles user data in accordance with its Privacy Policy and applicable data protection laws. Users are responsible for ensuring that any customer or third-party data collected through their business activities is obtained and managed lawfully. Mercury may analyze aggregated and anonymized data to enhance system performance, develop new features, and improve user experience, without identifying individual businesses or customers. Continued use of the platform indicates acceptance of Mercury's data handling practices.

Intellectual Property Rights

All intellectual property rights in the Mercury platform, including software code, system architecture, design elements, trademarks, logos, branding, content, and proprietary technology, are owned by or licensed to Mercury. These Terms grant users a limited, non-exclusive, non-transferable, and revocable license to access and use the platform solely for legitimate business operations.

Users may not copy, modify, distribute, reproduce, reverse engineer, or create derivative works based on any part of the Mercury services without prior written authorization. Unauthorized use of Mercury's intellectual property may result in account suspension and legal action where applicable. Nothing in these Terms transfers ownership rights to users beyond the permitted use of the software under this license agreement.

Service Availability & Updates

Mercury aims to provide reliable and consistent access to its platform, however, uninterrupted or error-free service cannot be guaranteed at all times. Access may occasionally be limited due to scheduled maintenance, system upgrades, security improvements, or unforeseen technical issues.

Mercury reserves the right to modify, enhance, or discontinue certain features or functionalities as part of ongoing platform development and performance optimization. Updates may be deployed automatically to improve usability, security, or compliance requirements. While Mercury works to minimize disruptions, users acknowledge that temporary service interruptions may occur and agree that such updates or maintenance activities are necessary for maintaining platform quality, stability, and long term service delivery.

Suspension & Termination

Mercury may suspend or terminate user accounts if these Terms are violated, payment obligations are not met, or any activity threatens platform security, stability, or other users. Accounts engaging in harmful, illegal, or unauthorized actions may also be restricted. Users may choose to discontinue using Mercury services at any time. Upon termination, access to the platform and stored data may be limited or removed in accordance with Mercury's data retention policies.

Limitation Of Liability

Mercury shall not be liable for any direct, indirect, incidental, or consequential damages arising from the use or inability to use the platform, including business losses, revenue interruption, or operational decisions based on platform data.

Mercury is not responsible for third-party service failures or external integrations. Liability is limited to the maximum extent permitted by applicable law, and users acknowledge that the platform serves as a tool to support restaurant management rather than a guarantee of business outcomes or financial results.

Disclaimer Of Warranties

Mercury is provided on an "as is" and "as available" basis without any warranties, express or implied. While Mercury strives for reliable performance, it does not guarantee error-free operation, uninterrupted service, or specific business outcomes. Users acknowledge that the platform is a tool to support restaurant management, and all reliance on the software is at their own risk. Mercury disclaims all warranties of merchantability, fitness for a particular purpose, or non-infringement to the fullest extent permitted by law.

Changes To These Terms

Mercury may update or modify these Terms of Use from time to time to reflect changes in services, legal requirements, or business practices. Updated Terms will be posted on the Mercury website, and the effective date will be clearly indicated.

Continued use of the platform after such updates constitutes acceptance of the revised Terms. Users are encouraged to review the Terms periodically to stay informed of any changes that may affect their rights, obligations, or use of Mercury services.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from or relating to these Terms or the use of Mercury services shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria, without regard to conflict of law principles. International users agree to submit to the jurisdiction of Nigerian courts for resolution of any disputes.
